Terms of Service
These Terms of Service govern access to and use of the websites, products, software, APIs, subscriptions, and related services that There, Inc., a Delaware corporation, makes available through there.dev, roster.page, and linked experiences. These Terms are written for business customers and their authorized users. If you do not agree to these Terms, do not use the services. Questions can be sent to founders@there.dev.
Acceptance of Terms
By accessing or using our services, you agree to these Terms and any policies or supplemental terms that apply to specific offerings. If you use the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Customer Organizations, Authorized Users, and Representations
The services are intended for business and organizational use. If you are accepting these Terms on behalf of a company, employer, or other legal entity, you represent that you have authority to bind that entity to these Terms and that the entity will be responsible for the acts and omissions of its authorized users.
By using the services, you represent that:
- information you provide to us is true, accurate, current, and complete;
- you will keep that information updated so it remains accurate and complete;
- you have the legal capacity to agree to these Terms and, if applicable, to bind the organization on whose behalf you act;
- you will not use the services for any unlawful, infringing, or unauthorized purpose; and
- your use of the services will comply with applicable law and these Terms.
Accounts, Administrators, and Access Controls
Some features may require an account. The customer organization is responsible for designating administrators, managing authorized user access, safeguarding credentials, and ensuring that account activity is limited to appropriately authorized personnel. You must notify us promptly at founders@there.dev if you believe credentials have been compromised or access has been used without authorization.
We may suspend, reclaim, or reject usernames, accounts, or access credentials that violate these Terms, infringe rights, mislead others, or create operational, legal, or security risk.
Our Services
We provide software, websites, communications, subscription offerings, APIs, and related services that may evolve over time. We may modify, suspend, or discontinue all or part of the services at any time, including features, integrations, beta offerings, or availability in particular regions.
No Regulated or High-Risk Use
Unless we expressly agree otherwise in writing, the services are not designed or offered for compliance with industry-specific regulatory regimes or use cases that impose specialized legal or security requirements. You may not use the services in a way that would subject us to regulatory obligations we have not expressly accepted.
Prohibited Activities
You may not access or use the services to:
- violate any law or infringe the rights of others;
- access or attempt to access non-public areas, accounts, systems, source materials, data, or infrastructure without authorization;
- reverse engineer, decompile, disassemble, copy, mirror, frame, scrape, benchmark, or otherwise attempt to derive source code, underlying models, trade secrets, architecture, or non-public functionality, except where such restrictions are prohibited by law;
- probe, scan, stress test, overload, interfere with, disable, break, degrade, or disrupt the integrity, security, or performance of the services;
- circumvent or attempt to circumvent service limits, authentication, access controls, billing controls, rate limits, or security measures;
- use bots, scripts, crawlers, data mining tools, or similar automated means to access or collect data from the services except through authorized interfaces or as permitted by us in writing;
- upload, transmit, or submit malware, viruses, harmful code, spam, or deceptive or misleading content;
- impersonate another person or entity, misrepresent your affiliation, or use false pretenses to access the services;
- use the services to build, train, improve, or enable a competing service using our non-public outputs, interfaces, or materials without our written permission;
- use the services in a manner that is fraudulent, deceptive, abusive, harassing, harmful, or likely to create liability for us, our users, or third parties.
Customer Data and Feedback
You retain ownership of data, content, and materials you submit to the services, subject to the rights you grant us to host, process, transmit, and use that information as necessary to provide, secure, improve, and support the services, comply with law, and enforce our rights.
You are responsible for ensuring that you have all rights, permissions, and notices required for content or data you provide through the services.
If you provide suggestions, ideas, comments, or other feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that feedback without restriction or compensation.
Purchases, Payment, and Taxes
Some services may require payment, a recurring subscription, a trial, or another commercial arrangement. By making a purchase, you agree to pay all applicable fees, taxes, and charges described at checkout, in an order form, quote, statement of work, or other pricing materials we make available.
- You must provide and maintain current, complete, and accurate billing, payment, and account information.
- We may add or collect taxes where required by law.
- We may correct pricing, invoicing, or billing errors even after requesting or receiving payment.
- We may refuse, restrict, or cancel orders or transactions where we reasonably suspect fraud, abuse, resale, policy violations, or other risk.
- Unless otherwise stated, fees are non-refundable except where required by law or expressly provided in writing.
Subscriptions and Automatic Renewal
If you enroll in a subscription, the subscription may renew automatically at the interval identified in your plan, checkout, or order form until canceled. You authorize us and our payment processors to charge your payment method for recurring and one-time charges that become due under your subscription.
We will describe material subscription terms, including pricing, renewal timing, and cancellation information, before you enroll. You are responsible for reviewing those terms and keeping your payment method current.
Renewal, Non-Renewal, and Fee Changes
You may cancel a subscription before the next renewal date through the subscription workflow we provide or by contacting us at founders@there.dev if self-service cancellation is not available. If you cancel, your subscription will generally remain active through the end of the then-current paid period unless stated otherwise in your plan terms.
We may change pricing, plan structure, or billing terms on a prospective basis. If we do, we will provide notice where required by law or by the terms of your commercial arrangement.
Third-Party Services and Integrations
Our services may interoperate with third-party services, websites, content, software, or hardware. Your use of third-party offerings is governed by those third parties' own terms and policies. We do not control and are not responsible for third-party services, including their availability, security, or data practices.
Intellectual Property
We and our licensors retain all rights, title, and interest in and to the services, including all software, designs, branding, content, documentation, and related intellectual property, except for rights expressly granted to you in these Terms.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the services for your internal business or personal use, as applicable.
Corrections
We may correct errors, inaccuracies, or omissions in the services, documentation, pricing, or descriptive materials at any time and may update information without prior notice. We are not obligated to maintain any specific feature, integration, or content in perpetuity.
Service Management, Availability, and Modifications
We reserve the right, but not the obligation, to monitor the services for violations of these Terms, investigate misuse, remove or restrict content or access, and otherwise manage the services to protect our rights, users, systems, and operations.
We do not guarantee that the services will be available at all times or without interruption. We may experience delays, downtime, maintenance windows, outages, or third-party failures. We may change, revise, suspend, or discontinue all or part of the services at any time without liability.
Privacy
Your use of the services is also subject to our Privacy Policy, which describes how we collect, use, and disclose information. By using the services, you acknowledge that you have reviewed the Privacy Policy.
User Data and Backups
You are responsible for the accuracy, quality, legality, and use rights associated with data you submit to the services. Although we may maintain backups, logging, or recovery processes, you are solely responsible for maintaining any backups you require and for the consequences of any lost, unavailable, or corrupted data.
Disclaimer of Warranties
To the maximum extent permitted by law, the services are provided on an "as is" and "as available" basis. We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the services will be uninterrupted, error-free, secure, or free of harmful components.
Limitation of Liability
To the maximum extent permitted by law, There, Inc. and its officers, directors, employees, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to the services or these Terms.
To the maximum extent permitted by law, our aggregate liability for all claims arising out of or relating to the services or these Terms will not exceed the greater of the amounts you paid us for the services in the twelve months before the event giving rise to the claim or one hundred U.S. dollars.
Indemnification
You agree to defend, indemnify, and hold harmless There, Inc. and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of the services, your content, your violation of these Terms, or your violation of any law or third-party rights.
Suspension and Termination
We may suspend or terminate your access to all or part of the services immediately if we reasonably believe you have violated these Terms, created risk for us or others, failed to pay amounts due, or where suspension or termination is necessary for legal, security, or operational reasons.
Upon termination, your right to use the services will end immediately, but provisions that by their nature should survive termination will survive, including provisions relating to fees owed, intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution.
Dispute Resolution and Governing Law
Before filing a formal claim, you agree to first contact us at founders@there.dev and attempt to resolve the dispute informally. If we cannot resolve the dispute within a reasonable period, then any dispute, claim, or controversy arising out of or relating to these Terms or the services will be governed by the laws of the State of Delaware, without regard to conflict of law rules.
Except where prohibited by law or where a claim may be brought in small claims court, you and There, Inc. agree that the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the services, and each party consents to personal jurisdiction and venue in those courts.
Electronic Communications
By using the services, sending us emails, or completing online forms, you consent to receive communications from us electronically. You agree that agreements, notices, disclosures, invoices, records, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
Miscellaneous
These Terms, together with any policies or additional terms expressly incorporated by reference, constitute the entire agreement between you and us regarding the services. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms will not be deemed a waiver. We may assign our rights and obligations under these Terms. You may not assign your rights or obligations without our prior written consent. Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and There, Inc.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may post the updated Terms on the relevant service, update the date at the top of the page, or provide other notice where required. Your continued use of the services after updated Terms become effective means you accept the revised Terms.
